Terms and Conditions for Document Purchase and Use

This Agreement governs the purchase and use of digital compliance documents supplied by Regulogix Consulting Limited.
This Licence Agreement (“Agreement”) is entered into between Regulogix Consulting Limited (“we”, “us”, “our”) and the purchaser of the Documents (“Customer”, “you”, “your”).
The Documents are intended solely for purchase and use by businesses, professionals, and persons acting in the course of trade.
By completing a Purchase, you represent and warrant that you are acting for business purposes and not as a consumer.
By completing the Purchase and downloading the Documents, you agree to be bound by this Agreement. If you do not agree, you must not complete the Purchase.
For the purposes of this Agreement:
“Documents” means any compliance templates, policies, procedures, checklists, guides, frameworks, or related materials supplied by us.
“Customer” means the individual or legal entity completing the Purchase.
“Purchase” means successful completion of payment via our designated payment processor.
Subject to this Agreement, we grant you a non-exclusive, non-transferable, perpetual licence to use the Documents.
You may:
(a) use the Documents for your internal business purposes;
(b) modify and adapt the Documents to suit your organisation;
(c) retain copies for ongoing internal use.
The licence granted is personal to the Customer and may not be assigned, sublicensed, or otherwise transferred.
You must not:
(a) resell, redistribute, sublicense, publish, or commercially exploit the Documents, whether in original or modified form;
(b) make the Documents available to third parties outside your organisation;
(c) remove or alter copyright, trademark, or proprietary notices;
(d) claim authorship or ownership beyond the licence granted.
You may not use the Documents to create or supply competing compliance template products for commercial sale.
All intellectual property rights in and to the Documents remain the exclusive property of Regulogix Consulting Limited.
This Agreement grants a licence only and does not transfer ownership of the Documents.
Following successful payment, the Documents will be delivered electronically via a secure download link sent to the email address provided at checkout.
The download link will remain active for 24 hours from issuance.
You are responsible for downloading the Documents within this period. We are not liable for failure to download within the specified timeframe.
The Documents are digital products supplied electronically.
Except where required by applicable law, all sales are final. We do not provide refunds, returns, or exchanges, including in circumstances involving:
(a) change of mind;
(b) dissatisfaction with content or format;
(c) perceived unsuitability for a particular purpose;
(d) technical issues outside our reasonable control.
Unauthorised chargebacks or payment reversals may constitute a breach of this Agreement.
The Documents have been developed by Regulogix Consulting Limited based on our experience and knowledge in the field of regulatory compliance and business governance as at the date of publication.
The sale of the Documents does not constitute the provision of legal services or other regulated professional services. No solicitor-client, advisory, fiduciary, or other professional relationship is created by your purchase or use of the Documents.
We warrant that the Documents will be delivered in a readable electronic format and will materially correspond to the description provided at the time of purchase.
Except as expressly stated in this paragraph 8.2, no other warranties are given.
To the fullest extent permitted by applicable law, the Documents are provided on an “AS IS” basis.
We do not warrant or represent that the Documents:
(a) are suitable for your specific business, operational model, or risk profile;
(b) are accurate, complete, or up to date at the time of customer's use;
(c) will prevent regulatory investigation, enforcement action, or financial loss.
The Documents are general templates and do not constitute jurisdiction-specific legal or regulatory advice.
All implied warranties, conditions, or other terms (including those implied by statute or common law), including satisfactory quality, fitness for purpose, and non-infringement, are excluded to the fullest extent permitted by applicable law.
You are solely responsible for reviewing, adapting, and implementing the Documents appropriately for your organisation and jurisdiction. Laws and regulatory requirements vary between jurisdictions and may change over time.
You should obtain independent legal or professional advice before relying on or implementing the Documents.
Nothing in this Agreement excludes or limits any liability which cannot lawfully be excluded or limited under applicable law.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Documents or this Agreement shall not exceed the amount paid by you for the relevant Document(s).
We shall not be liable for any:
(a) indirect or consequential loss;
(b) loss of profit, revenue, business opportunity, or goodwill;
(c) loss of data;
(d) regulatory fines, penalties, or enforcement costs.
Implementation and use of the Documents is undertaken at your own risk.
Nothing in this Agreement excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) wilful misconduct;
(d) any liability which cannot lawfully be excluded under applicable law.
You agree to indemnify and hold harmless Regulogix Consulting Limited, its directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, or expenses (including reasonable legal costs) arising from:
(a) your use or misuse of the Documents;
(b) your breach of this Agreement;
(c) your violation of applicable laws or regulations.
This indemnity applies to the fullest extent permitted by applicable law.
We collect:
(a) your email address for delivery;
(b) transaction metadata;
(c) payment information processed securely by our payment processor (we do not store card details).
Personal data is processed solely to:
(a) fulfil your Purchase;
(b) maintain accounting and regulatory records;
(c) respond to support enquiries.
Personal data may be processed outside the United Kingdom. Where this occurs, appropriate safeguards are implemented in accordance with applicable data protection law.
We may terminate your licence immediately if you materially breach this Agreement.
Upon termination, you must cease use of the Documents and delete all copies in your possession.
Clauses relating to intellectual property, warranties, limitation of liability, indemnity, and governing law shall survive termination.
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
To the fullest extent permitted by applicable law, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
This Agreement constitutes the entire agreement between the parties regarding the Documents and supersedes all prior understandings or representations.
We reserve the right to amend this Agreement from time to time. Amendments shall apply to Purchases made after the date of publication.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
